Glen Ogal Group Ltd. – Terms and Conditions of Sale

1. Definitions:

• "Goods" means the jewellery items provided by Glen Ogal Group Ltd.
• "Buyer" means the entity purchasing Goods from Glen Ogal Group Ltd.
• "Contract" means the agreement between Glen Ogal Group Ltd. and the Buyer for the sale of Goods.

2. Governing Law:
This Contract is governed by and construed in accordance with the laws of England and both Glen Ogal Group Ltd. and the Buyer submit to the exclusive jurisdiction of the English courts.

3. Order Acceptance:
All orders are subject to acceptance by Glen Ogal Group Ltd. No order shall be deemed accepted unless confirmed in writing by Glen Ogal Group Ltd.

4. Pricing:
Prices are subject to change without notice. All prices are exclusive of VAT and other applicable taxes unless otherwise stated.

5. Payment:
Payment terms will be stipulated on the invoice provided by Glen Ogal Group Ltd. Late payments may attract interest charges.

6. Delivery:
Goods will be delivered to the address specified by the Buyer. Glen Ogal Group Ltd. will make every effort to deliver on time but cannot be held responsible for delays outside of its control.

7. Risk and Title:
The risk of loss or damage to the Goods shall pass to the Buyer upon delivery. However, the title to the Goods shall not pass to the Buyer until Glen Ogal Group Ltd. has received payment in full.

8. Returns:
Goods may be returned within a specified period, as detailed on the invoice, provided they are in their original condition. Special order items may not be returnable.

9. Liability:
Glen Ogal Group Ltd.'s liability for any claim arising out of or in connection with the sale of Goods, whether in contract, tort, or otherwise, shall not exceed the price of the Goods. Glen Ogal Group Ltd. shall not be liable for any indirect or consequential losses.

10. Warranty:
Glen Ogal Group Ltd. warrants that the Goods will be free from defects in material and workmanship for a specified period, as detailed on the invoice.

11. Intellectual Property:
All designs, trademarks, and other intellectual property associated with the Goods remain the property of Glen Ogal Group Ltd.

12. Force Majeure:
Glen Ogal Group Ltd. will not be liable for any delay or failure to perform its obligations if such delay or failure results from events or circumstances outside its control, including but not limited to acts of God, strikes, lockouts, accidents, war, fire, or failure of any communications or transportation.

13. Variation:
Any changes or amendments to these terms and conditions must be in writing and signed by both parties.

14. Severability:
If any provision of these terms and conditions is found by any court to be invalid, illegal, or unenforceable, that provision or part-provision shall, to the extent required, be deemed not to form part of the Contract, and the validity and enforceability of the other provisions of these terms and conditions shall not be affected.

If any of the Goods ordered by the Buyer are not in stock at the time the order is placed, the Buyer will be offered the option of placing the Goods on Back Order for future delivery. Glen Ogal Group Ltd. reserves the right to cancel Goods on Back Order. 

Glen Ogal Group Ltd. cannot provide sale or return arrangements.

Products will only be replaced or credited if it's evident that there's a manufacturing defect or if the item was damaged before delivery.

Items that have been worn will not qualify for replacement or credit unless a manufacturing fault is unmistakably present.

Any goods delivered in a broken or faulty state must be sent back to Glen Ogal Group Ltd., accompanied by comprehensive details of the order date and invoice number.

Every product should be returned in its individual packaging with the product code prominently displayed.

Goods sent back to Glen Ogal Group Ltd. that fail to satisfy any of the stipulated requirements will be returned to the Buyer. A handling fee of £5 may be charged in such cases.

The decision to issue replacements or credit notes rests solely with Glen Ogal Group Ltd.

Should there be any unauthorised duplication, Glen Ogal Group Ltd. reserves the right to initiate legal actions against the customer, wholesaler, or manufacturer.
